1. Acceptance of Terms

By accessing this website (www.unnatvega.in) or engaging Unnat Vega ("we," "our," or "us") for web design, web development, custom software, SEO, or branding services, you represent that you have read, understood, and agreed to be bound by these Terms & Conditions.

If you are entering into these terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Services & Project Scope

Unnat Vega agrees to provide services as defined in individual project agreements, quotes, or proposals (the "Scope of Work").

• Milestones: Projects are executed in phases or milestones. Any changes, edits, or feature requests outside the original project scope will require additional approval and may incur extra costs.
• Revisions: Unless otherwise specified in your project agreement, we offer a set number of review/revision rounds during the design and development phases. Additional iterations are billed hourly.
• Timeline: Project timelines are estimates. Delays in receiving content, assets, or feedback from the client will extend project deadlines.

3. Intellectual Property

Ownership and transfer of intellectual property are defined as follows:

• Client Materials: You retain ownership of all branding elements, text copy, images, and credentials you provide to us for inclusion on your site. You warrant that you own or have the license to use these materials.
• Deliverables & Code: Upon final project approval and receipt of complete, outstanding payments, ownership of the custom code, graphical designs, and assets created specifically for your website transfers to you.
• Pre-existing Assets: Unnat Vega retains rights to all pre-existing design templates, code frameworks, standard plugins, and library structures developed outside of or prior to this agreement.

4. Billing & Payments

Payment agreements are custom to each project milestone and outlined in our formal invoices:

• Deposit: An initial advance deposit (usually 30% to 50%) is required before project kickoff.
• Milestone Payments: Payments are due upon completion of specific stages (e.g., UI design sign-off, staging site review, production launch).
• Delinquent Accounts: We reserve the right to suspend development, remove access to staging sites, or pause production site deployment if invoices remain unpaid past their due date.

5. User Conduct & Content

When using our website or interacting with our brand, you agree not to:

• Violate any federal, state, or international laws or regulations.
• Transmit malware, viruses, or any code of a destructive nature.
• Attempt to gain unauthorized access to our servers, database systems, or code repositories.
• Impersonate any person or entity, or falsely state your affiliation with Unnat Vega.

6. Limitation of Liability & Warranties

To the fullest extent permitted by law, Unnat Vega provides its services on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied.

We do not guarantee that your website will always operate error-free, uninterrupted, or be completely secure from sophisticated malicious hacks. We are not liable for any lost profits, lost sales, downtime, or incidental, indirect, or consequential damages arising from the use or inability to use our services, server failures, third-party plugin updates, or browser compatibility changes.

7. Indemnification

You agree to defend, indemnify, and hold harmless Unnat Vega, its contractors, developers, and team members, from and against any claims, damages, liabilities, costs, and expenses (including legal fees) arising from content you supplied, copyright infringement claims regarding your brand assets, or any violation of these Terms.

8. Termination of Service

Either party may terminate a project agreement upon written notice if the other party breaches a material term of the agreement and fails to cure such breach within 14 days. Upon termination, client shall pay Unnat Vega for all work completed up to the date of termination.

9. Governing Law

These Terms & Conditions, and any disputes arising from or relating to our services, shall be governed by, and construed in accordance with, the laws of India. Any legal action or proceeding shall be brought exclusively in the courts located in Jodhpur, Rajasthan, India.
